  3. Filing the amendment through Sijilat.
  4. Completing the Ministry of Industry and Commerce review.
  5. Documenting the transfer or renunciation of shares where applicable.
  6. Amending and notarising the memorandum of association or other constitutional document where required.
  7. Paying the amendment fee and completing the transaction.

More time may be needed if additional approvals, notarisation or supporting documents are required.

 

Requirements for adding a shareholder in Bahrain

The exact requirements depend on who the incoming shareholder is. Common documents can include:

  • Shareholder or partner resolution, meeting minutes or another formal company decision approving the change
  • No Objection Certificate for the new partner
  • Draft amendment to the memorandum or articles of association, as applicable

Possibly. Bahrain requires Commercial Registration holders, subject to applicable exemptions, to disclose Ultimate Beneficial Owner information through Sijilat.

Sijilat states that a UBO can include a natural person who owns more than 10% of the CR shares or who otherwise exercises ultimate control or significant influence. If the new shareholder changes who meets the UBO criteria, the company should update its beneficial ownership information accordingly.
